A company run by two partners came to us for guidance, when one of the partners wanted to retire as soon as possible due to ill health, leaving the other much younger partner unsure on which direction to take.

Brokerring carefully chose and presented four Brokers who wanted to buy the business. Each Broker was very different in its approach, not so much on price but in the softer issues and around the structure of the deal and the employment of the younger partner going forward.

Having seen all of the prospective purchasers, the younger shareholder had a far better idea in his mind about what he wanted personally – which he hadn’t before. Brokerring demonstrated what was possible, and narrowed the choice down to effectively two purchasers. One was a consolidator the other a local Broker looking to expand.

By the end of the review process, each shareholder did have a different favourite. In the end, though, we managed a deal that both shareholders were happy with and which achieved each of their very different objectives.

Solution to slow down and not sell

Business owners are renowned for being busy people who never take any time off of work. But keeping on top of challenges regarding compliance and the sheer weight of administration that exists these days across five days a week with no respite or holiday cover was proving too much for this Broker.

We arranged a Brokerring Host/Union agreement with a local Broker which meant that the Broker could reduce their working days down to just 2-3 days a week, they’d have no administration worries to deal with, would finally benefit from holiday cover (so they could actually go on holiday!), his staff would be managed by someone else and he would earn 80% more that he did previously! A great result all around.

A principal of a company came to us looking to complete a straight sale whereby he could define his gradual exit over the next five years and obtain the maximum price possible for his shares, whilst protecting his staff and their future.

The Brokerring team approached a selection of four consolidators with the financial capability to make a clean purchase. After structuring and managing a deal, we achieved the sale of the business for a multiple of 3.2x income with an earn-out that also meant any growth over the original value was also paid at 3x income for a period of three years.

The owner stands to earn as much from the earn-out as he did from the original sale of the company – which benefits all parties. In addition, all the key staff are incentivised.

Brokerring were deeply involved on a day-to-day basis with the whole due diligence and legal process and achieved what the owner says he could never have achieved on his own.
