Brokerage Sale

Are you looking to sell your insurance business?

Selling your business is one of the largest transactions you’ll make in your life, and that’s why you need the right expert advice and sector knowledge to maximise your business sale.

At Brokerring, we have sold, or partially sold, more than fifty companies over the years and therefore have built up a vast experience of the sector. Though in all that time, no two deals were ever the same!

Satisfying all your objectives

Your needs going forward are central to any deal that we can procure for you. The typical method business sale agents will follow is to gather the information, summarise it and send it out to as many people as possible, much like an estate agent. With this method, despite having NDAs (Non-Disclosure Agreements), word can still get out that your business is up for sale, which often results in a disruptive effect on clients and staff. Worse still, the Broker will soon become inundated with calls which not only interrupt the day job but can become very overwhelming resulting in the Broker rejecting the very Brokers they should be speaking to!

A unique approach

We approach things differently. Most Brokers have an idea of what they’d like to achieve but are unsure of what that might look like, which is why we’ll sit down with you on a number of occasions to really get to the bottom of what it is that you truly want.

Our team of professionals will then work with you to formulate a plan that deciphers things like how you would like your working role to evolve, and for how long, plus outlining what sort of brokerage you would prefer. We then work with you to produce a summary of the figures and a profile of your brokerage which you are happy with.

The best methodology

On your behalf, we will approach an agreed number of Brokers for you, typically no more than four, for their interest. The pofile of these Brokers will of course depend on your desired outcome, but you can rest assured that we have the market knowledge and profile to engage with Brokers of all sizes. In fact, we know all of the largest Brokers personally.

A preliminary interview would then be conducted with them, with Brokerring in attendance, where we will then sit down with you afterwards to discuss your initial thoughts and instincts. We would then likely engage with just one of two of your preferred Brokers to try to forge a deal that is representative of what you want to achieve.

“I am delighted with the professional and personal way in which my sale has been handled by Stuart at Brokerring. If I had to pick one of the many aspects which meant so much was how trustworthy Stuart and his team were throughout. I knew that I was having to share every detail of my business with them, but I had complete confidence that it would all remain between us, just brilliant Stuart, Thank You.” – Rob Marsh, MD of Marsh & Company

Acquisitions

With you every step of the way

Acquisition is a whole new discipline that you have to learn if you want to do it properly and it takes experience, often learnt from failure, and time to acquire that knowledge.
Brokerring become your in-house mergers and acquisitions team taking you through the whole process. We hold your hand every step of the way and with our long experience of acquisitions, we are able to talk to potential targets in a way that does not burn bridges.

Smooth facilitators

When we say that Brokerring will be with you throughout the whole process, we really mean it. We’ll provide support right from evaluating the target business, conducting due diligence, and assessing the risks, to making an offer and ensuring tax compliance and minimisation. Our team will help facilitate a smooth transaction too, that will set you up for long-term success with the acquisition.

Many Brokers have tried to acquire over the years and have failed due to avoidable reasons like upsetting their potential target or being unable to advance the deal. We understand how to speak to Brokers in a way that helps them and keeps them on the line.

Over fifty acquisitions

If you’re looking at the purchase of a new business, or want to acquire a competing or complimentary company as part of your growth strategy, buying a brokerage with the right fit and at a fair price is critical.

We are proud to have managed over fifty acquisitions of small to medium-sized Brokers into other Brokers, and not a single deal has been the same. Unique situations require unique solutions, something which Brokerring are proficient in producing.

“Deals I have wanted to do for some time but felt that they were just too difficult became a reality with Brokerring at the helm.” – Peter Goddard

Deal Structuring

Gentle & risk-free
Deal structuring is an art. Simply offering money is never the solution as it is the softer aspects of the deal that are often the most valued.

We will help you structure the acquisition in a way that it can be funded entirely from cash flow and, where possible, with no or minimal upfront payments. We specialise in structuring deals that are general and risk-free for all parties involved.

Ensuring the right structure

Ensuring the right structure for a merger or acquisition is critical to the deal’s success for all parties. These transactions are, after all, usually quite complex and one type of structure may favour one party more than the other. For these reasons, both parties must consider the respective legal, tax and business issues and craft a mutually beneficial transaction structure.

We’re born to create the best deal

This is Brokerring’s bread and butter, we truly were born to create the best deal for you. Whilst there are three main ways of handling a deal: share purchase, asset sale or purchase, or a merger. In truth there are infinite ways of making the impossible happen. Through skilful crafting, we can help achieve a deal which will satisfy both the seller and the buyer.

“It is a massive thing to sell your business, the ‘baby’ which you have grown and cherished over many years. I felt it was time to sell, but I just wasn’t sure how to approach it. That is until I talked to Stuart Randall at Brokerring. He ‘held my hand’ through the whole process from negotiating the deal to completion and it wouldn’t be a lie to say that the deal would at best have taken months longer to achieve or maybe not happened at all without his superb knowledge and foresight of the process.” – Rob Marsh – MD of Marsh & Company

Union/Host

Our happy clients…
Our team work hard to make sure we always achieve the objectives set by our clients. We promise an upfront and sincere relationship where costs and all timescales are transparent.

Helping smaller Brokers to semi-retire whilst retaining their book of clients is a skill we have developed over time.

A new pathway to the future

Regional Brokers are incredibly busy people, what with the increasing level of regulation and the need to be sharper and smarter to win new pitches. Many ‘Baby Boomers’ have an added challenge as they keep one eye on business whilst the other is weighing up when they will have enough value in their book to sell for a happy and long retirement; it gets intense.

Consider all options

Many see the route to freedom as a straight sale to a consolidator, but have they ever given a thought to any of the other options out there? There are a number of alternatives that we at Brokerring have in our toolkit to help independent Regional Brokers prosper both in and, when the time comes, out of their business.

Selling a brokerage is not a straightforward task. There’s a great deal to do to ensure that a sale goes through smoothly and doesn’t become a drama for all concerned. It’s very likely you’ve never done this before, so it’s important to recognise that there’s an art to getting it right and maximising the potential of your book of clients, which is an art we know very well.

A better work-life balance

What if you could spend just two or three days a week serving your customers, leaving the rest to someone else and still end up earning the same level of personal income? Imagine if you could also continue to influence placement and service time and be in control of your own customer’s needs.

Brokerring has been working hard to develop such a plan for those Brokers who don’t want to sell and retire yet, but who do want to enjoy a better work-life balance.

This plan is called Brokerring Union

The Brokerring Union will give you more time to spend on the things that are most important to you, like spending quality time with family or, if you choose to, having more time to build your book value before retirement.

Our plan links you up, in a unique way, with a local larger ‘Host’ Broker who will handle all of the back-office work for you.

This relationship will give you a point of contact for your designated larger clients, will provide assistance or a lead in the broking process to the degree that you wish, and you’ll even have access to your Host Broker’s office, staff, facilities and much more!

Taking on the role of arbiter

Brokerring will assist the Union Broker in making legal, financial, and regulatory changes to their business model, and will assist both the Union and Host Brokers with the necessary legal framework for the relationship to work. We will also act as arbiters during the negotiation process to ensure that the “agreement” is fair and equitable for all parties and that everybody involved understands their roles and responsibilities. In the unlikely event of a future dispute between the Union and Host Brokers, we will also act as an arbiter or referee to protect each party from any unreasonable behaviour.

“Joining the Brokerring Union released me from the costs and restrictions around Compliance, HR, Software Systems and Insurer Accounts.” – Neil Carpenter – Much Ado limited

Ship-Jumpers

A unique service
Brokerring offers a very special and a unique service in Ship-Jumpers, which is designed to help you to lift account executives from other brokerages, along with books of business, in a legal way.

Knowledge and mechanism

We have the knowledge and the mechanism that will allow you to either maximise the amount of business that the executive is able to bring or, alternatively, it allows us to negotiate the exit of the book from the Broker for a reasonable price.

Incentivise

We are also able to incentivise potential Ship-Jumpers with shares in your brokerage that only kick in with delivered growth over defined periods, and which do not take an interest in the underlying brokerage business.

“I thoroughly recommend that if you are thinking about selling talk to them before you do anything else. They achieved a better price and steered me around the maze with ease – honestly, they made the impossible possible!” – Nick Gowdridge FCII, Director of Whitman Gowdridge
